                                    Notice

Adjustment of the conversion price of bonds into Beni Stabili's ordinary shares
of Bonded Loan  "EUR 200,000,000.00 0.875 per cent. Convertible Bonds due 2021"
(Borsa Italiana S.p.A. "ExtraMOT - Professional Segment" ISIN XS1268574891).

Pursuant to articles 6(b)(iii)B, 6(f) and 15 of the Bonded Loan Regulations and
on the basis of calculations carried out by Conv-Ex Advisors Limited
(Calculation Agent), the Company announces that it has been necessary to adjust
the conversion price of the bonds.
Therefore, please note that the conversion price of bonds into Beni Stabili's
ordinary shares has been modified from EUR 1.0001 to EUR 0.9853, starting from
29 May 2017. All other terms and conditions of the convertible bonds remain
unchanged.
