      Membership of the Ordinary Annual General Meeting of April 8, 2021

Pursuant to French decree No. 2020-418 of April 10, 2020, (Article 8) as
extended by French decree No. 2021-255 of March 9, 2021, the Chairman and Chief
Executive Officer acting by delegation on behalf of the Board of Directors, has
approved the membership of the Annual General Meeting as follows:

- Chairman of the Meeting: Mr. Michaël Fribourg, in his capacity as Chairman
  and Chief Executive Officer;
- Secretary General: Ms. Joëlle Fabre-Hoffmeister, Group Secretary General;
- Poll officers: Columbus Holding and Mr. Olivier Buquen, Group Chief Financial
Officer, both of whom are Company shareholders and who have already agreed to
be poll officers.

It is specified that in light of the health situation linked to the spread of
Covid-19 and the current restrictive measures, the Annual General Meeting will
be held in closed session on April 8, 2021, at 10:30 a.m. at 8 Place de
l'Opéra, 75009 Paris. Shareholders and any other person entitled to attend
will not be able to do so, in compliance with French Order No. 2020-321 of
March 25, 2020, and French Decree No. 2020-418 of April 10, 2020, relating to
changes in rules for meetings and discussions in respect of the Annual General
Meeting and Governance extended by French Decree No. 2021-255 of March 9, 2021.

As such, no admission card will be issued. Shareholders have therefore been
asked to cast their vote prior to the Annual General Meeting by using a voting
form, or by giving a proxy vote to the Chairman of the Annual General Meeting
or any other individual or legal entity.

The full webcast of the Annual General Meeting (AGM) will be broadcast live on
the Chargeurs website: https://www.chargeurs.com/. The AGM replay will be
available on the same website.

In an effort to foster interaction between Group shareholders, questions may be
asked through the written chat function during the website. Members of the
Annual General Meeting will then answer those questions in our Q&A session.
