Positive opinion of the Supervisory Board on the proposed conversion of
Lagardère SCA into a joint-stock company
The Supervisory Board issued today a positive opinion on the proposed
conversion of Lagardère SCA into a joint-stock company in regards of the
Company's corporate interest, and in particular on the terms of the
compensation of the General Partners for the loss of their financial and
non-financial rights through the allocation of 10 million new shares,
representing c.7.63% of the Company's share capital prior to the issuance of
the shares.
The Supervisory Board issued its opinion in light of, in particular, the report
prepared by the firm Ledouble, acting as an independent expert commissioned by
the Supervisory Board.

www.lagardere.com, in the section entitled "2021 Annual Shareholders' Meeting".
