PRESS RELEASEMERSEN ANNOUNCES THE PUBLICATION OF PREPARATORY DOCUMENTS
ANNUAL GENERAL MEETING OF MAY 14, 2020
PARIS, APRIL 24, 2020 - Mersen's Combined General Meeting will be held on May
14, 2020 at 10 a.m., without the physical presence of shareholders.
In accordance with Article 4 of French government order no. 2020-321 of March
25, 2020 issued pursuant to the authority conferred by French emergency law no.
2020-290 of March 23, 2020 adopted as part of the efforts to combat the
Covid-19 epidemic, the Company's Board of Directors decided on April 6, 2020
to hold the Annual General Meeting without the physical presence of
shareholders.
Accordingly, shareholders will be able to vote or give proxy either by post
using the voting form or online via the secure VOTACCESS voting platform. Given
the circumstances, shareholders are strongly recommended to cast their vote
online wherever possible.
Shareholders are invited to regularly check the 2020 Annual General Meeting
section of the Company's website: www.mersen.com.
The preliminary notice of meeting published in the French legal gazette
(Bulletin des Annonces Légales Obligatoires - BALO) on April 8, 2020 has been
modified to take into account the decisions made by the Board of Directors on
April 6, 2020, i.e., the amendment to the 3rd resolution regarding the
appropriation of net income and the removal of the 20th, 22nd, 23rd and 24th
resolutions.
The revised notice of meeting was published in the BALO on April 24, 2020 and
is available on the Company's website. The documents and information concerning
the Annual General Meeting, and, in particular, the information referred to in
Article R. 225-83 of the French Commercial Code (Code de commerce), are
available on Mersen's website:
https://www.mersen.com/investors/general-meeting-2020, including the brochure
and the 2019 Universal Registration Document.
