              MERSEN: ANNUAL GENERAL MEETING OF MAY 14, 2020

PARIS, MAY 14, 2020 - The combined general meeting of shareholders of Mersen
(Euronext FR0000039620 - MRN), a global expert in Electrical Power and Advanced
Materials, was held today under the chairmanship of Olivier Legrain, Chairman
of the Board of Directors. Due to the Covid-19 epidemic and the health measures
decided by the government, this meeting was held behind closed doors, in
application of order n°2020-321 of March 25, 2020.

With a quorum of more than 70%, all of the resolutions were approved.

In particular, the shareholders approved by more than 96%:

* the company financial statements and consolidated financial statements for
  fiscal year 2019;

* the fixed and variable items of total compensation and advantages of all kind
  paid or due to executive directors with respect to fiscal year 2019;

* the compensation policy for corporate officers and members of the Board of
  Directors in respect of fiscal year 2020;

* the share buy-back program

* and approved financial authorizations granted to the Board of Directors.

Olivier Legrain, Chairman of the Board of Directors, said "I would like to
thank all of Mersen's shareholders for taking part in this general meeting
behind closed doors and for their confidence during these difficult times. The
Board of Directors has decided that no dividend will be paid this year in order
to safeguard the Group's financial strength for the future. To demonstrate
their solidarity, Mersen's corporate officers had already decided to reduce
their fixed compensation by 25% and today, the members of its Board of
Directors have joined in this collective effort. It is by acting together that
we will ensure Mersen is in a position of strength when this crisis is behind
us".
