Results of the Board of Directors Meeting on February 11, 2020

PJSC RusHydro (ticker symbol: MOEX, LSE: HYDR; OTCQX: RSHYY) announces that the Company's Board of Directors held a meeting on February 11, 2020.

Resolutions passed on Items of the agenda:

Item 1: On approval of the report on execution of action plan aimed at divestment of non-core assets and optimization of RusHydro Group's corporate structure for 2019.

Resolution adopted:

1. To note the Company's work with regard to the optimization of RusHydro Group's structure.

2. To approve the Report on the implementation of the Action Plan
for the sale of RusHydro's non-core assets for 2019 in accordance with Schedule 1 to the Minutes.

Item 2: On consideration of matters of significant importance to the Company.

2.1. On the approval of RusHydro Group's Technical Policy.

Resolution adopted:

1. To approve RusHydro Group's Technical Policy in accordance with Schedule 2 to the Minutes.

2. To improve RusHydro Group's Technical Policy (with regard to the addition of targets thereto) and submit it to the Company's Board of Directors for approval.

2.2. On approval of the Board of Directors' work plan for the first half of 2020.

Resolution adopted:

To approve the Action Plan for RusHydro's Board of Directors for H1 2020 (Schedule 3 to the Minutes).
