Results of the Board of Directors Meeting on May 27, 2021

PJSC RusHydro (ticker symbol: MOEX, LSE: HYDR; OTCQX: RSHYY) announces that the Company's Board of Directors held a meeting on May 27, 2021.

Resolutions passed on Items of the agenda:

Item 1: On approval of the Development Strategy of RusHydro Group for the period up to 2025 with a view to 2035.

Adopted Resolution:

To approve the Development Strategy of RusHydro Group for the period up to 2025 with a view to 2035 (Schedule No. 1 to the Minutes).

Item 2: On approval of the restated Regulation on Dividend Policy of RusHydro.

Adopted Resolution:

To approve the restated Regulation on Dividend Policy of RusHydro as per Schedule No. 2 to the Minutes.

Item 3: On considering the Report on the functioning and assessment of the corporate Internal Control and Risk Management System.

Adopted Resolution:

1.           To approve the Report on the functioning and assessment of the corporate Internal Control and Risk Management System (Schedule No. 3 to the Minutes).
2.           To instruct the Company to develop a Plan to improve the internal control and risk management system of RusHydro, for 2022-2023, based on the report consideration results and assessments of the internal control and risk management system.
