SHAREHOLDERS' MEETING OF 12 MAY 2015:
ALL RESOLUTIONS ADOPTED
All resolutions put to the SUEZ environnement Shareholders' Meeting, which took
place on 12 May 2015 under the chairmanship of Gérard Mestrallet, were
adopted.
69,8 % of shareholders took part in the Shareholders' Meeting and, among them,
almost 3 800 used "Votaccess", the internet voting tool.
Jean-Louis Chaussade, Chief Executive Officer of SUEZ environnement, presented
the performance and highlights of 2014 to shareholders and Gérard Mestrallet,
Chairman of the Board of Directors, and the Chairs of each Board of Directors'
Committees presented the activities of the Board and of each Committee.
The Shareholders' Meeting approved the distribution of a EUR0.65 per share cash
dividend. The ex-dividend date is May 15, 2015, with a payment date on May 19,
2015.
The cooptation as directors of Mrs. Anne Lauvergeon and Mr. Isidro Fainé Casas
were ratified and the renewal of the mandates of Mrs. Valérie Bernis, Mrs.
Isabelle Kocher, Mrs. Anne Lauvergeon, Mr. Nicolas Bazire and Mr. Lorenz d'Este
were also approved by the Shareholders' Meeting. Therefore, the Board of
Directors is now composed of 18 members. Among them, 50% are independents and
37.5% are women.
The Shareholder's Meeting adopted the amendments to the bylaws that were
submitted to its approval, in order to allow the appointment of a director
representing the employee shareholders and to maintain the simple voting
rights.
Finally, the Shareholder's Meeting renewed all financial authorizations granted
to the Board of Directors.
