SOWITEC group GmbH: Interest payment for bond 2018/2023 will be made on time on 08.11.2023 / Suspension of trading in Frankfurt until implementation of the resolutions of the holders of bond 2018/2023

Sonnenbühl, 3 November 2023 – SOWITEC group GmbH (“SOWITEC” or “Company”) confirms the timely interest payment to the holders of its EUR 7.634 million outstanding bond 2018/2023 (ISIN: DE000A2NBZ21). The interest payment will be made punctually on 8 November 2023.

In the course of the current invitation to a so-called voting without meeting of the holders of the bond 2018/2023 published in the German Federal Gazette (“Bundesanzeiger”) and the ongoing restructuring process of the bond 2018/2023, trading in this security on the Frankfurt Stock Exchange will be temporarily suspended at the close of trading on 3 November 2023 for technical reasons. The suspension of trading there is expected to last until the resolutions of the bondholders have been implemented.

The proposed resolutions for the voting without meeting include the extension of the bond maturing on 8 November 2023 by three years, i.e. until 8 November 2026, and in connection therewith the waiver of the bondholders to exercise termination rights as well as the appointment of Dr. Marc Liebscher as common representative of the bondholders, who in this function shall also receive certain authorizations to make binding decisions for the bondholders. SOWITEC is open to the demands of Schutzgemeinschaft der Kapitalanleger e.V. (SdK). The Company is in a constructive exchange with SdK and is confident that it will reach an agreement.

SOWITEC calls on the holders of the bond 2018/2023 to support this restructuring process by actively participating in the voting without meeting. From today’s perspective, the Company is not in a position to repay the bond 2018/2023 at maturity. During the voting period from 11 November 2023 at 0:00 hours to 13 November 2023 at 24:00 hours, the holders of the bond 2018/2023 have the opportunity to cast their votes in writing. A quorum of 50% of the outstanding bonds is required for effective approval of the Company’s proposed resolutions.
